3. ORDERS
Placing an order on our Website is an offer to purchase. NOVCEL / Rofzen Private Limited may accept or decline any order at its discretion. An order is accepted once we send you a confirmation by email or SMS, or when the product is dispatched, whichever comes first.
Please review your order before submitting it. We may not be able to accommodate cancellation requests once an order is accepted. If we are unable to fulfil your order, we will contact you using the details you provided at checkout.
Returns and exchanges are governed solely by our Return & Refund Policy.
You confirm that your purchases are for your own personal or household use and not for commercial resale.
4. PRICES AND BILLING
Prices are subject to change without notice. The price that applies to your order is the one shown at the time you place it, as confirmed in your order confirmation. Prices at checkout may or may not include applicable taxes and shipping charges, which will be displayed clearly before you complete payment.
Promotional pricing and discounts are governed by their own terms and conditions. Where a conflict exists between a promotion's terms and these Terms, the promotion's terms take precedence for that offer.
You agree to provide complete and accurate payment information. By submitting a payment, you confirm that the payment method is yours or that you are duly authorised to use it, and that all charges, including taxes and shipping, will be honoured.
5. SHIPPING AND DELIVERY
Delivery timelines, charges, and conditions are governed by our Shipping Policy, which forms part of these Terms.
All delivery timeframes shown are estimates. NOVCEL is not liable for delays caused by logistics carriers, weather, customs, or other factors outside our control. Once your order is handed over to a carrier, title and risk pass to you.
6. INTELLECTUAL PROPERTY
All content that makes up the Services, including but not limited to the NOVCEL name and logo, product names, formulations, designs, text, graphics, images, and software, is owned by or licensed to Rofzen Private Limited and is protected under applicable Indian intellectual property laws.
These Terms allow you to use the Services for your own personal, non-commercial purposes only. You may not reproduce, copy, distribute, modify, publicly display, or create derivative works from any part of the Services without our prior written permission. Any unauthorised use may expose you to civil or criminal liability under Indian law.

We may, at our discretion, edit or remove Feedback that we consider unlawful, misleading, offensive, or in breach of these Terms. You are solely responsible for the accuracy of any Feedback you submit.
11. ERRORS, INACCURACIES AND OMISSIONS

We may suspend or terminate your access to the Services at any time, with or without notice, if we determine that you have breached these Terms or violated applicable law. You remain responsible for any amounts owed up to the date of termination.
The following sections continue to apply after termination: Intellectual Property, Feedback and Reviews, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Privacy, and any other provisions that by their nature should survive.
15. DISCLAIMER OF WARRANTIES
THE SERVICES, AND ALL PRODUCTS AND CONTENT MADE AVAILABLE THROUGH THEM, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, EXCEPT AS REQUIRED BY APPLICABLE INDIAN CONSUMER LAW. NOVCEL / ROFZEN PRIVATE LIMITED MAKES NO REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE EXTENT PERMITTED BY LAW, ALL IMPLIED WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, ARE DISCLAIMED.
16. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE INDIAN LAW, ROFZEN PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THEM.
WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THAT CLAIM. NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE ANY RIGHTS YOU HAVE UNDER THE CONSUMER PROTECTION ACT, 2019 OR OTHER APPLICABLE INDIAN LAW.
17. INDEMNIFICATION
You agree to indemnify and hold harmless Rofzen Private Limited, NOVCEL, and their directors, employees, agents, and partners from any losses, claims, damages, or costs (including reasonable legal fees) arising from: (1) your breach of these Terms; (2) your violation of any applicable law or the rights of a third party; or (3) your use of the Services.
We will notify you of any such claim. We may assume control of its defence at your expense, but will not settle any claim that places non-monetary obligations on you without your consent.

All complaints will be acknowledged within 48 hours and resolved within one calendar month from the date of receipt, in line with applicable law.
19. SEVERABILITY
If any provision of these Terms is found to be unlawful or unenforceable, that provision will be applied to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.
20. WAIVER AND ENTIRE AGREEMENT
Any failure by us to enforce a right or provision of these Terms does not constitute a waiver of that right or provision.
These Terms, together with our Privacy Policy, Cookie Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and NOVCEL regarding your use of the Services and supersede any prior understandings or agreements on the same subject.
21. ASSIGNMENT
You may not transfer or assign your rights or obligations under these Terms without our prior written consent. Any attempt to do so is null and void. Rofzen Private Limited may assign or transfer these Terms and its rights and obligations, in whole or in part, in connection with a merger, acquisition, or sale of assets, without requiring your consent.
22. GOVERNING LAW
These Terms are governed by the laws of India. Subject to any mandatory consumer protection forums, disputes arising from these Terms or your use of the Services will be subject to the exclusive jurisdiction of the courts at Dewas, Madhya Pradesh, India.
23. HEADINGS
Section headings in these Terms are included for convenience only and have no legal effect on the interpretation or scope of any provision.
24. CHANGES TO TERMS OF SERVICE
We may update these Terms at any time. The most current version will always be available on this page. Material changes will be communicated in accordance with applicable law. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
